PROCEDURE FOR LEGALLY CHANGING THE NAME OF A COMPANY IN RWANDA

LAW APPLICABLE

Companies change names due to various reasons is accompany may change its name in Rwanda

  1. First consult with transaction lawyer about the company’s desire to change its name for legal guidance
  2. Company secretary prepares a notice for extra ordinary meeting of company indicating the agenda and the date of the meeting
  3. He/she sends copies of the notice for extra ordinary meeting of the company to all members/share holders.
  4. At extra ordinary general meeting of the company, a special resolution should be passed to change the name of the company to a particular name agreed upon.
  5. A special resolution should be reduced in writing and signed.
  6. Apply to Registrar General RDB to reserve the proposed   company name
  7. New company name is approved and reserved for registration, In case the reservation of the name is rejected you will be notified
  8. Prepare application for change of name indicating the name proposed
  9. Submit both the copies of the special resolution to Registrar of companies
  10. Registrar of companies shall go through the application and all attachments
  11. if  the Registrar is satisfied that the application complies with the requirement for change of names under the law  he or she will record a new name of the company in the company register, record the change of name of the company on the certificate of incorporation of the company and instructs the company to publicize the new name
  12. The company should then issue public notice and publish it in gazette and newspapers of wide circulations as required by law
  13. Following the company’s release of a public notice indicating that the name of the company was changed, the company ensures that for a period of twelve (12) months each document issued or signed on behalf of the company states the name of the company being changed in that period.
