PROCEDURE FOR CHANGING THE NAME OF A LOCAL COMPANY IN UGANDA
Governing law, COMPANIES ACT, 2012 s, 40

• First consult with transaction lawyer about the company’s desire to change its name for legal guidance
• Company secretary prepares a notice for extra ordinary meeting of company indicating the agenda and the date of the meeting
• He/she sends copies of the notice for extra ordinary meeting of the company to all members.
• At extra ordinary general meeting of the company, a special resolution should be passed to change the name of the company to a particular name agreed upon.
• A special resolution should be reduced in writing and signed.
• Pick the reservation of company name and fill in the new company name.
• Take the reservation form for assessment either at URSB or DTB.
• After assessment, pay the reservation fees and submit the reservation form plus payment receipts at Registrar of companies at URSB
• New company name is approved and reserved for registration
• Take special resolution for assessment for registration/filing fee at URSB /DTB
• Pay the fee as indicated and get bank payment slip
• Submit both the copies of the special resolution and payment slips to registrar of companies with 14 days from the date of passing the special resolution.
• Registrar of companies shall prepare and issue you gazette notice for publication in Uganda gazette.
• Pick the gazette notice for publication in Uganda gazette from office of registrar general of companies on the day you we told to pick it
• Proceed to Uganda printing and publishing cooperation with the notice, pay the gazette fee and submit it for publishing in the Uganda gazette
• Publish the notices also to one of the newspapers as advised at the company registry
• Present the published gazette notice and surrender of existing certificate of incorporation to the office of Registrar general of companies
