  1. LIST OF COMPANY LIABILITIES AND ASSETS/PROPERTIES BOTH TANGIBLE AND INTANGIBLE AMONG OTHERS.

  1. BUSINESS/COMPANY FINANCIAL STATEMENTS.
  1. LICENSES AND PERMITS.
  1. CUSTOMER PROBLEMS.

You need to also find out if the business customers have any problem with the intended business/company.

All in all a good and complete legal due diligence in the instant case should focus on some issues like details on how the business works, liabilities, exposure, indemnities, limits on liabilities, consents: assignment or change of control, guarantees, indemnities, financing commitments, expiry and termination, pricing and minimum supply, purchasing commitments, exclusivity, non-compete, governing law and jurisdiction, and anything relevant to transaction, among others as pointed out above.

Please note that legal due diligence ends with a report detailing the findings, observations and recommendations should inform the intended purchaser’s decision touching the transaction at hand
